Fortive Declares Regular Quarterly Dividend on its Common Stock and Announces Replenishment of its General Share Repurchase Authorization
EVERETT, Wash.--(BUSINESS WIRE)-- Fortive Corporation (“Fortive”) (NYSE: FTV) announced today that its Board of Directors declared a regular quarterly cash dividend of $0.06 per share of its common stock, par value $0.01 per share, payable on December 26, 2025 to common stockholders of record on November 28, 2025. Although Fortive expects to pay dividends on a quarterly basis, any subsequent declaration of dividends, including the amount, the record dates and the payment dates for any such future dividend payments, is subject to the discretion of the Board of Directors.
In addition, Fortive announced today that its Board of Directors approved an increase in the number of shares of Fortive’s common stock authorized under its general share repurchase program (the “General Share Repurchase Program”), with the total number of shares remaining available for repurchase under the General Share Repurchase Program following such increase equal to 20 million shares, including shares that were available prior to such increase.
The shares available for repurchase under the General Share Repurchase Program is in addition to approximately $78.2 million available under the $550 million special purpose share repurchase program previously adopted by Fortive’s Board of Directors under which Fortive may repurchase shares of Fortive common stock exclusively from the proceeds of the cash dividend and any other cash received by Fortive from Ralliant Corporation in connection with the separation of Ralliant completed on June 28, 2025.
Under the share repurchase programs, Fortive may purchase its common stock on a discretionary basis from time to time on the open market or in privately negotiated transactions, including through the use of trading plans that satisfy the conditions of Rule 10b5-1 under the Securities Exchange Act of 1934, as amended, in accordance with the requirements of the Securities and Exchange Commission.
The timing and amount of common stock repurchases made under the share repurchase programs will be determined by Fortive’s management based on its evaluation of market conditions and other factors. The repurchase programs have no expiration date and do not obligate Fortive to acquire any particular amount of shares, and may be suspended or discontinued at any time.
