This Registration Statement on Form S-8 is being filed by Fortive Corporation (Fortive or the Registrant) to register an additional 16,500,000 shares of the Registrants common stock, par value $0.01 per share, for issuance pursuant to the Fortive Corporation 2016 Stock Incentive Plan, as amended and restated (the Plan). In accordance with General Instruction E to Form S-8, the contents of Registration Statement No. 333-212349, filed with the Securities and Exchange Commission (the Commission) on June 30, 2016 are incorporated herein by reference.
